This Privacy Notice applies to information collected by us when you visit our website https://auxili.us and any subdomains thereof (the “Website”), and through your use of the services, features, and information available on the Website (together with the Website, along with associated and successor websites, applications, features, information, and services, or any part thereof, the “Services”) as well as through any related services, sales, marketing, or events (“Networking Activities”). As used herein, “you” and “your” mean a user of the Services and/or an individual who otherwise engages with us, such as through Networking Activities. We take your privacy seriously. In this Privacy Notice, we explain our practices with respect to your personal information including what personal information we collect, how we use it, and what rights you have in relation to it. We hope you take some time to read through it carefully, as it is important. If there are any terms in this Privacy Notice that you do not agree with, please discontinue use of our Services immediately.  

As used in this Privacy Notice (a) “GDPR” means the General Data Protection Regulation (EU) 2016/679; (b) “UK Data Protection Laws” means the UK GDPR and the UK’s Data Protection Act 2018 (“UK DPA 2018”); (c) “UK GDPR” means the UK equivalent of the GDPR, as defined in section 3(10) (and as supplemented by section 205(4)) of the UK DPA 2018; and (d) “European Data Protection Laws” means the GDPR and/or UK Data Protection Laws, in each case to the extent applicable. 

In this Privacy Notice, the term “personal information” means any information relating to an identified or identifiable natural person. Such personal information amounts to ‘personal data’ for the purposes of and as defined in the European Data Protection Laws (to the extent applicable). 

If an organization with which you are associated (an “Organization”) signs up to use our services, we may receive personal information about you in connection with our provision of such services to such Organization. To the extent we process that personal information solely in order to provide such services to such Organization, we will act as a processor on behalf of such Organization in respect of that personal information, which means: we will handle that personal information solely at the direction of such Organization; such Organization’s privacy policy (and not this Privacy Notice) will apply to the processing of that personal information; and such Organization (and not us) is responsible for obtaining all necessary consents and providing you with all requisite information as required by applicable law. To the extent we process your personal information for any other lawful business purpose of ours, this Privacy Notice will apply to the processing of such information.

1. WHAT INFORMATION DO WE COLLECT?

Personal information you disclose to us 

We collect personal information that you voluntarily provide to us when you express an interest in obtaining information about us or our products and Services, when you participate in activities on the Website or otherwise when you contact us or engage in Networking Activities with us. 

The personal information that we collect depends on the context of your interactions with us and the Website, the choices you make and the products and features you use. The personal information we collect may include the following:

We automatically collect certain information when you visit, use, or navigate the Website. This information may include device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, location, information about how and when you use our Website and other technical information. This information is primarily needed to maintain the security and operation of our Website, for marketing purposes, and for our internal analytics and reporting purposes. 

Like many businesses, we also collect information through cookies and similar technologies. 

The information we collect includes: 

• Log and Usage Data. Log and usage data is service-related, diagnostic, usage, and performance information our servers automatically collect when you access or use our Website and which we record in log files. Depending on how you interact with us, this log data may include your IP address, device information, browser type and settings, and information about your activity on the Website (such as the date/time stamps associated with your usage, pages and files viewed, searches and other actions you take such as which features you use), device event information (such as system activity, error reports (sometimes called ‘crash dumps’), and hardware settings).   

• Device Data. We collect device data such as information about your computer, phone, tablet, or other device you use to access the Website. Depending on the device used, this device data may include information such as your IP address (or proxy server), device and application identification numbers, location, browser type, hardware model, Internet service provider and/or mobile carrier, operating system, and system configuration information.   

• Location Data. We collect location data such as information about your device’s location. For example, we may collect geolocation data that tells us your current location based on your IP address.  

• For the avoidance of doubt, the Services use third-party service platforms (including to help analyze how users use the Services). These third-party service platforms may place cookies on your computer or mobile device. Information collected from other sources 

In order to enhance our ability to provide relevant marketing, offers and services to you and update our records, we may obtain personal information about you from other sources, such as public databases, joint marketing partners, affiliate programs, data providers, as well as from other third parties. This personal information includes mailing addresses, job titles, email addresses, phone numbers, intent data (or user behavior data), IP addresses, social media profiles, social media URLs and custom profiles, for purposes of targeted advertising and event promotion. 

2. HOW DO WE USE YOUR INFORMATION?

We use personal information for a variety of business purposes. We may process or share your personal information that we hold based on the following legal bases: 

• Consent: We may process your personal information if you have given us specific consent to use your personal information for a specific purpose, which consent may be withdrawn at any time without affecting the lawfulness of processing based on consent prior to withdrawal. 

• Legitimate Interests: We may process your personal information when it is reasonably necessary to achieve our legitimate business interests (or those of a third party) in providing, improving, or marketing the Services and/or engaging in Networking Activities and your interests or fundamental rights and freedoms do not override those legitimate interests. 

• Performance of a Contract: Where we have entered into a contract with you or are about to enter into a contract, we may process your personal information to fulfill the terms of our contract. 

• Legal Obligations: We may process and disclose your personal information where we are legally required to do so in order to comply with applicable law, governmental requests, a judicial proceeding, court order, or legal process, such as in response to a court order or a subpoena (including in response to public authorities to meet national security or law enforcement requirements). 

• Vital Interests: We may process and disclose your personal information where we believe it is necessary to protect your vital interests or those of another person.  

In addition, we use the information we collect or receive to: 

• Provide the Services to you and process your transactions, to engage in Networking Activities, to help us understand who uses the Services, for internal operations such as operating and improving the Services, and to contact you for customer service and billing purposes.  

• Send you marketing and promotional communications. We and/or our third-party marketing partners may use the personal information you send to us for our marketing purposes, if this is in accordance with your marketing preferences. For example, when expressing an interest in obtaining information about us or our Website, subscribing to marketing or otherwise contacting us, we will collect personal information from you. You can opt-out of our marketing emails at any time (see the section titled “WHAT ARE YOUR PRIVACY RIGHTS” below)

• Deliver targeted advertising to you. We may use your information to develop and display personalized content and advertising (and work with third parties who do so) tailored to your interests and/or location and to measure its effectiveness. Note that information collected from cookies and other similar technologies (which may include device identifiers) may be used to send you online advertising for the Services. In particular, information collected from cookies (including cookies placed by third-party vendors, such as Google and its partners) and other similar technologies (which may include device identifiers) may be used to deliver advertisements to Website visitors when such visitors are visiting other websites, including Facebook and LinkedIn. These third-party vendors may use cookies and/or device identifiers to serve ads based on your past visits to the Website. 3. WILL YOUR INFORMATION BE SHARED WITH ANYONE?

• Third Parties Generally. We may provide information to third parties, including where such information is combined with similar information of other users of the Services. For example, we might inform third parties regarding the number of unique users who use the Services, the demographic breakdown of our users of the Services, or the products and/or services purchased using the Services and the vendors of such products and services. In addition to the above, when users use our Services, third parties (including without limitation third-party analytics service providers) may directly collect information about our users’ online activities over time and across different websites. The third parties to which we may provide or who may independently directly collect information may include analytics services providers, affiliates and other actual or potential commercial partners, and other similar parties. We may employ independent contractors, vendors, and suppliers (collectively, “Outside Contractors”) to provide specific services and products related to the Services and/or related to our Networking Activities, such as hosting and maintaining the Services, and developing applications for the Services. In the course of providing products or services to us, these Outside Contractors may have access to information collected through the Services, including your personal information. We use reasonable efforts to ensure that these Outside Contractors are capable of protecting the security of your personal information. 

• Professional Advisors. We may provide your personal information to professional advisors, such as lawyers, auditors, bankers, and insurers, where necessary in the course of the professional services that they render to us. 

• Business Transfers. We reserve the right to transfer information to a third party in connection with a sale, merger, general corporate reorganization, or other transfer of all or substantially all of the assets of Auxilius or any of its Corporate Affiliates (as defined below), or that portion of Auxilius or any of its Corporate Affiliates to which the Services relate, or in connection with a strategic investment by a third party in Auxilius, or in the event that we discontinue our business or file a petition or have filed against us a petition in bankruptcy, reorganization or similar proceeding. 

• Affiliates. We may disclose your personal information to our Corporate Affiliates. For purposes of this Privacy Notice: “Corporate Affiliate” means any person or entity which directly or indirectly controls, is controlled by or is under common control with Auxilius, whether by ownership or otherwise; and “control” means possessing, directly or indirectly, the power to direct or cause the direction of the management, policies or operations of an entity, whether through ownership of fifty percent (50%) or more of the voting securities, by contract or otherwise. 

• Laws and Legal Rights. We may disclose your information if we believe in good faith that we are required to do so in order to comply with an applicable statute, regulation, rule or law, a subpoena, a search warrant, a court or regulatory order, lawful requests by public authorities, including to meet national security or law enforcement requirements, or other valid legal process. We may disclose your personal information in special circumstances when we have reason to believe that disclosing this information is necessary to investigate, prevent, or take action regarding potential violations of our policies or a contract with us, suspected fraud, situations involving potential threats to the safety of any person and illegal activities, or as evidence in litigation in which we are involved. 

4. HOW LONG DO WE KEEP YOUR INFORMATION?

We will only keep your personal information for as long as it is necessary for the purposes set out in this Privacy Notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements). To determine the appropriate retention period for personal information, we consider the amount, nature, and sensitivity of that personal information, the potential risk of harm from unauthorized use or disclosure, the purposes for which we process your personal information and whether we can achieve those purposes through other means, and the applicable legal requirements. 

When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible. 

5. HOW DO WE KEEP YOUR INFORMATION SAFE?  

We have implemented commercially reasonable technical and organizational security measures designed to protect the security of any personal information we process. However, despite our safeguards and efforts to secure your personal information, no electronic transmission over the Internet or information storage technology can be guaranteed to be 100% secure, so we cannot promise or guarantee that hackers, cybercriminals, or other unauthorized third parties will not be able to defeat our security, and improperly collect, access, steal, or modify your personal information. Although we will do our best to protect your personal information, transmission of personal information to and from our Services is at your own risk. You should only access the Services within a secure environment. 

6. DO WE COLLECT INFORMATION FROM MINORS?

We do not knowingly solicit personal information from or market to children under 18 years of age. By using the Services, you represent that you are at least 18 or that you are the parent or guardian of such a minor and consent to such minor dependent’s use of the Services. If we learn that personal information from users less than 18 years of age has been collected, we will deactivate the account and take reasonable measures to promptly delete such personal information from our records.
